Agreement
These Terms and Conditions govern access to and use of VNDRLY, including the web application at https://vndrly.ai, the VNDRLY Field iOS application, APIs, notifications, support workflows, and related services. They are effective August 24, 2026.
By creating an account, accepting onboarding terms, signing in, or using VNDRLY on behalf of yourself or an organization, you agree to these Terms and represent that you have authority to bind the organization you represent.
Service Description
VNDRLY is field operations management software for partners, vendors, and field employees in oil and gas and adjacent industrial operations. The platform supports site locations, QR and visitor workflows, dispatch, tickets, GPS activity, route and mileage context, parts and labor, compliance documents, invoices, payment status, reports, notifications, 1099 support workflows, and AskV assistance.
VNDRLY is not a substitute for a company's HSE program, emergency response plan, legal advice, accounting advice, insurance obligations, or tax filing responsibilities.
Accounts and Authorized Users
You are responsible for keeping account information accurate, protecting login credentials, assigning appropriate user roles, promptly removing users who should no longer have access, and ensuring your users comply with these Terms.
You may not share credentials, impersonate another user, bypass access controls, interfere with audit trails, submit false job or compliance information, or use VNDRLY to violate law or another party's rights.
Customer Data and Operational Records
Partners, vendors, and authorized users are responsible for the accuracy and legality of data they submit to VNDRLY, including tickets, time, mileage, tax identifiers, compliance documents, invoices, site data, photos, notes, and user contact information.
VNDRLY may process customer data to provide, secure, support, improve, and report on the service, and to comply with applicable obligations.
Messaging Terms
VNDRLY Field Operations Alerts: VNDRLY sends transactional and operational messages related to account setup, authentication, tickets, site activity, routing, compliance, invoices, payments, support, and safety-adjacent workflow reminders.
By opting in, you agree to receive recurring automated text messages from VNDRLY at the mobile number you provide. Consent is not required to create an account or use VNDRLY. Message frequency varies. Message and data rates may apply.
Reply STOP to cancel text messages. After you opt out, we may send one final confirmation message. Reply HELP for help or contact support@vndrly.ai. Carriers are not liable for delayed or undelivered messages.
SMS consent is voluntary and is not a condition of purchasing or using VNDRLY. Operational messages may also be delivered by email, in-app notification, push notification, or other available channels depending on account configuration.
Payments, Taxes, and Reporting
VNDRLY may help users prepare invoices, payment status records, reports, and 1099-supporting data. Each organization remains responsible for validating amounts, worker classifications, tax IDs, filing obligations, payments, and compliance with applicable laws.
Electronic delivery of tax forms requires separate consent where applicable. Users may be asked to choose paper or electronic delivery during onboarding or account setup.
Availability and Changes
VNDRLY may modify, suspend, or discontinue parts of the service, release updates, change workflows, or perform maintenance. We aim to keep the platform reliable, but we do not guarantee uninterrupted or error-free availability.
We may update these Terms or related policies. Continued use after an update means you accept the updated terms unless a separate written agreement says otherwise.
Disclaimers and Limitation of Liability
VNDRLY is provided as software for operational coordination. To the fullest extent permitted by law, VNDRLY disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, VNDRLY will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, field delays, safety incidents, or third-party conduct.
